Questions emerge over how government computed compensation, expanded the audit period beyond the original claim, and failed to deduct mandatory taxes before paying Pioneer Easy Bus Company.

The Government of Uganda is facing renewed scrutiny over a UGX39.18 billion compensation payout to Pioneer Easy Bus Company Limited after an audit revealed significant irregularities in the computation of the claim, raising concerns that taxpayers may have suffered avoidable financial losses.

Findings contained in the latest government audit indicate that the compensation—approved following a presidential directive and eventually paid after legal clearance from the Solicitor General—may have been based on an improperly expanded audit scope that overstated the company’s losses.

The report also questions why government failed to deduct statutory taxes from the compensation despite clear provisions in Uganda’s Income Tax Act requiring withholding tax on qualifying payments.

The Origins of the Claim

The compensation stems from the collapse of Pioneer Easy Bus Company’s public transport concession, which was entered into with Kampala Capital City Authority (KCCA) in December 2010. The concession was intended to modernize public transport in Kampala through the introduction of large-capacity buses.

However, the project became embroiled in controversy after Parliament intervened in 2012, halting the arrangement and directing that a new agreement involving the Government of Uganda, KCCA, Wakiso District Local Government, Mukono District Local Government and Pioneer Easy Bus be negotiated.

The interruption of the concession prompted the company to seek compensation for financial losses allegedly incurred following the cancellation of the arrangement.President Yoweri Museveni later directed that the company’s claims be independently audited and that corrective action be taken if the losses were found to be genuine.

Internal Audit Validates Multi-Billion Claim

Following the presidential directive, the Internal Auditor General, acting on instructions from the Permanent Secretary to the Treasury (PSST), reviewed the company’s claim.The audit involved validating five years of financial statements covering June 2012 to June 2016 that had been prepared and audited by PKF Uganda Certified Public Accountants.

The Internal Auditor General concluded that Pioneer Easy Bus had accumulated operational losses amounting to UGX33.74 billion, while taxable losses totalled UGX39.18 billion.

Government subsequently relied on these findings in processing compensation.Legal clearance from the Solicitor General was obtained on March 7, 2024, before a deed of settlement between government and Pioneer Easy Bus was executed on June 17, 2024.During the 2024/25 financial year, government paid the company approximately UGX39.18 billion, leaving an outstanding balance of about UGX2.86 billion by June 30, 2025.

Audit Questions the Basis of the Compensation

Despite validating the losses, the latest audit report raises serious concerns about the methodology used by the Internal Auditor General.

According to auditors, the compensation exercise examined financial statements covering 2012 to 2016, even though the original claim—and the President’s directive—related to losses suffered between December 2010, when the concession agreement was signed, and December 2012, when Parliament effectively halted the project.

Auditors argue that this discrepancy fundamentally altered the compensation calculation.The report notes that the company’s claim should have been assessed only within the period during which the concession was active.

Instead, auditors reviewed financial statements spanning five years during which Pioneer Easy Bus was no longer legally operating under the original concession.This, according to the report, significantly expanded the period used to compute losses.

A Five-Year Projection Based on Nine Months of Operations

One of the most critical findings concerns the assumption that Pioneer Easy Bus would have operated continuously for five years.

The audit notes that the concession agreement was not an unconditional five-year guarantee.

Rather, the contract provided that the first year was essentially a probationary phase, during which the company’s performance would be evaluated.

Only after satisfactory performance would the concession be extended to its full five-year duration. However, Parliament halted the arrangement after the company had operated for only nine months.

The latest audit argues that calculating losses over five years ignored the conditional nature of the concession. By treating the company as though it had a guaranteed five-year operational lifespan, auditors say government may have compensated losses that were never contractually assured.

The report concludes that considering the five-year period after 2012 was irregular because Pioneer Easy Bus had no legal authority to continue operating under the suspended agreement.

Missing Financial Records Raise Further Questions

The Internal Auditor General also acknowledged significant limitations during the verification exercise. Among the concerns was the inability to independently verify loan repayments.

The Standard Chartered Bank statements provided covered only one year—from February 29, 2012, to March 30, 2013. As a result, auditors could not independently confirm the recovery of loan principal amounts or the related interest reflected in the company’s financial statements.

Even more concerning was the absence of records relating to an account held at Cairo International Bank Limited.

According to an earlier Uganda Revenue Authority customs financial audit conducted in April 2013, Pioneer Easy Bus maintained an account into which USD2.89 million disbursed by Yutong Hong Kong Limited had been deposited to facilitate customs taxes and related expenses.

However, the Internal Auditor General reported that information concerning the Cairo International Bank account was unavailable during the compensation audit.Without those records, auditors could not authenticate loan recovery, interest movements or determine their impact on the financial statements used to justify compensation.

These gaps, the report suggests, reduced the level of assurance that could be placed on the figures eventually approved for payment.

Government Accused of Causing Financial Loss

The latest audit delivers perhaps its strongest conclusion by stating that consideration of the wrong audit scope caused financial loss to government.

Instead of limiting compensation to the period identified in the presidential directive, government relied on financial statements covering years when the company was no longer operating under the disputed concession.

That decision substantially increased the value of the compensation eventually paid.

While the report stops short of quantifying the exact amount that may have been overpaid, it concludes that the broader assessment period was irregular and directly contributed to government expenditure that may not have been justified under the original concession agreement.

Failure to Deduct Taxes

The audit also identifies another potentially costly lapse. Under Section 136 of Uganda’s Income Tax Act, government entities are required to withhold tax when making qualifying payments exceeding one million shillings for goods or services.

In addition, Section 60 provides that compensation payments assume the tax character of the item being compensated.Despite these legal requirements, auditors found no evidence that withholding taxes were deducted before government paid Pioneer Easy Bus.

The omission raises questions about compliance with tax laws and whether the Uganda Revenue Authority may have lost revenue that should have been collected before the compensation was released.The audit suggests that the Accounting Officer should have ensured statutory deductions were made before payment.

Growing Questions Over Accountability

The Pioneer Easy Bus compensation now joins a growing list of controversial government settlements attracting public scrutiny over accountability, procurement oversight and value for money.The audit findings are likely to increase pressure on authorities to explain how the compensation was calculated, why the audit period was expanded beyond the original claim, and why mandatory tax deductions were apparently ignored.

As government continues to grapple with mounting fiscal pressures, the report serves as a reminder that weaknesses in compensation assessments can expose taxpayers to significant financial losses.

Whether further investigations will be undertaken—or whether officials responsible for approving the payout will be called to account—remains to be seen. However, the audit has placed the Pioneer Easy Bus settlement firmly under the spotlight as another case where public expenditure may have fallen short of the standards of financial accountability expected in the management of taxpayers’ money.

Who Owns Pioneer Easy Bus? The Powerful Business Figures Behind the Controversial Company

Pioneer Easy Bus Company Limited was established in March 2005 as a private company that later secured a controversial public transport concession with Kampala Capital City Authority (KCCA). Over the years, its ownership has evolved from individual shareholders to a structure involving several investment companies.

Early company records show that former Privatisation Minister Matthew Rukikaire was the principal founder and chairman of the company, alongside businessman Fred Senoga, who served as company secretary.Other original shareholders included former Prime Minister Kintu Musoke, former Deputy Prime Minister Eric Adriko, banker Faizal Kasujja, real estate developer Dr. Muhammed Kasaja, and Ida Wanendeya.

By 2010, the shareholding had been reorganised. Official filings with the Registrar of Companies show that Rukikaire remained the largest shareholder, while other stakes were held through corporate entities including Atlantis Holdings Limited, Investpro Holdings Limited, Urban Public Transport Company Limited, Kenlloyd Logistics Uganda Limited, and Delux Solutions Limited. The company’s 10,000 ordinary shares were distributed among these firms, with Rukikaire retaining the largest individual stake.

Among the key figures to emerge later was businessman Albert Muganga, proprietor of Kenlloyd Logistics Uganda Limited and one of Pioneer Easy Bus’s principal shareholders. Muganga, who is also a son-in-law of former Foreign Affairs Minister Sam Kutesa, became the company’s public face during proceedings before the Commission of Inquiry into Land Matters.

Before the land commission, Muganga defended Pioneer Easy Bus’s controversial acquisition of approximately 30 acres adjacent to Namboole Stadium, saying the land was required under a public-private partnership to establish bus terminals after KCCA failed to provide the promised operational space. However, the Commission chaired by Justice Catherine Bamugemereire questioned the legality of the lease, with officials from the Uganda Land Commission later admitting that the transaction was improperly handled.

Separately, businessman Alexander Okello, once one of northern Uganda’s wealthiest entrepreneurs, has also been linked to the Pioneer Bus story. Although not listed among the company’s registered shareholders, Okello’s former prime property, Okello House in Nakasero, was reportedly used as security in financing arrangements connected to the acquisition of the buses. According to accounts from people close to him, Okello entrusted associates with powers of attorney over the property as part of the financing structure, a decision that allegedly contributed to his financial decline after the project collapsed.

Today, Pioneer Easy Bus remains one of Uganda’s most controversial public-private transport ventures, with its ownership involving influential politicians, prominent businessmen and corporate investment vehicles whose roles continue to attract public and regulatory scrutiny.
